Terms of Service

Welcome to Circle! These Terms of Service ("Terms") govern your access to and use of our insurance brokerage automation software (the "Service"). By using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Acceptance of Terms

By accessing or using the Service, you confirm that you:

  • Are at least 18 years old or have reached the age of majority in your jurisdiction.
  • Have the authority to enter into a binding agreement on behalf of yourself or your organization.
  • Agree to comply with these Terms and any applicable laws.

2. Description of the Service

Our Service provides tools and features to facilitate insurance brokerage operations, including:

  • Automating policy management
  • Handling claims data
  • Streamlining communication with insurers and clients
  • Optional AI-powered voice assistant for information collection
  • AI-powered document generation and form completion

We reserve the right to modify or discontinue any part of the Service at any time, with or without notice.

3. Account Registration

To use the Service, you may be required to create an account. You agree to:

  • Provide accurate and up-to-date information during registration.
  • Maintain the confidentiality of your login credentials.
  • Notify us immediately of any unauthorized access or use of your account.

You are responsible for all activities that occur under your account.

4. Use of the Service

You agree to use the Service only for lawful purposes and in compliance with these Terms. Specifically, you will not:

  • Use the Service for any unauthorized or fraudulent activities.
  • Interfere with or disrupt the Service's operation.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Violate the rights of others, including intellectual property or privacy rights.

5. Fees and Payment

Access to certain features of the Service may require payment of fees. If applicable:

  • Fees will be clearly communicated during the subscription or transaction process.
  • All payments are non-refundable, except as required by law or as explicitly stated.
  • You are responsible for any taxes associated with your use of the Service.

6. Intellectual Property

All content, features, and functionality of the Service (including software, text, graphics, and logos) are owned by Circle or its licensors and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

Your use of the Service is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. Please review the Privacy Policy carefully.

The Privacy Policy includes important information about how we process data collected through our AI voice assistant feature, including the sharing of information with third-party AI service providers and data storage practices.

8. AI Features

Our Service utilizes artificial intelligence in the following ways:

a. Voice Assistant:

Our Service offers an optional AI-powered voice assistant feature. By using this feature, you acknowledge and agree to the following terms:

  • The voice assistant is powered by ChatGPT 4o through Microsoft Azure, a third-party service.
  • Any information you provide to the voice assistant, including potentially sensitive information (such as social security numbers, dates of birth, etc.), will be processed by these third-party AI services.
  • Information processed through the voice assistant is stored on United States-based infrastructure.
  • Your use of the voice assistant feature constitutes your consent to share the information you provide with these third-party AI services.
  • You can opt not to use the voice assistant feature and still utilize other aspects of the Service.

b. Document Processing:

All user-provided data is processed through AI systems to:

  • Analyze and structure input information
  • Generate completed PDF forms and insurance documents
  • Validate data against regulatory requirements

This AI processing is fundamental to our Service and cannot be disabled. By using our Service, you consent to this automated processing of your information.

9. Termination

We may suspend or terminate your access to the Service at our sole discretion, with or without cause, and without prior notice. Common reasons for termination include:

  • Violating these Terms
  • Engaging in unauthorized activities
  • Failing to pay required fees

Upon termination, your right to access the Service will immediately cease.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available," without any warranties of any kind, either express or implied, including:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • Warranties that the Service will be error-free, secure, or uninterrupted.

11. Limitation of Liability

To the maximum extent permitted by law, Circle shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claim shall not exceed the amount you paid to use the Service in the preceding 12 months.

12. Indemnification

You agree to indemnify, defend, and hold harmless Circle, its affiliates, and its employees from any claims, damages, or expenses arising out of:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising out of these Terms or the Service shall be resolved exclusively in the courts of the United States.

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes, and your continued use of the Service after the changes take effect constitutes your acceptance of the revised Terms.
